Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the our Competition Platform, Job Board, or any other services (“Services”) provided by or operated by bitgrit Inc (“bitgrit,” “Bitgrit,” or “Service Provider”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using this Service you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access this Service.
User Registration and Service Usage
Accountholders on the bitgrit platform hereby agree to the Terms of Service and Privacy Policy upon registering or creating their account on the platform. All other users who utilize the Service, regardless of whether or not they have created an account or registered, are considered to have agreed to the Privacy Policy and Terms of Service upon the instance that they used the Service.
Bitgrit may, on its sole discretion, choose to deny a user's request to register on the platform or to use the services contained within. Bitgrit is not obligated to share the reason for such refusal or restriction.
Accounts are considered to be exclusively assigned to a single individual. Once registered on the platform, users may not possess more than one account or right to membership to the platform for the sake of fairness. You may not ask someone else to create an account on your behalf. If an account is created on behalf of a corporation, the person(s) with authority to represent that company are permitted to create an account on the Services.
If the user seeking registration is considered a minor in the country they live in, they must seek express permission from a parent or legal guardian to use the Service. Users under 13 years of age are not permitted to use the platform under any circumstances. The Service Provider will not be responsible or held accountable for any legal action associated with minors in connection to this service if the user in question has falsely obtained permission from guardians or made false representations regarding their age.
You will only use the Services for your own internal, personal, non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you. If your use of the Services is prohibited by applicable laws, then you aren't authorized to use the Services. We are not responsible if you use the Services in a way that breaks the law.
All community members are allowed to participate in any bitgrit's competition, except:
- Full-time or contracted employees of bitgrit, or a close relative of a full-time or contracted employee of bitgrit.
- Employees or interns of a competition sponsor for that specific competition.
- Individuals that have worked on the specific competition and/or prepared the data, or if they are/will be involved in the final code reviews, are not permitted to participate in that specific competition.
Users of the Bitgrit platform must be able to adequately understand English and be able to read and write in the English language.

Warranties Regarding Service Provision
The Services are provided on an as-is basis, and Bitgrit makes no warranties or guarantees, either express or implied, that the Service is free of any faults, interruption or bugs, fit for a particular purpose, and non-infringement. Bitgrit may, without prior notice to users, add, modify, or cease provision of services or functionality of aspects of the Services. Bitgrit may choose to close or permanently cease provision of the Services at their own discretion, and will make all efforts to inform parties of such closure, but shall not be obligated to do so.
Please note that Bitgrit shall not be responsible or liable for any results or damages resulting from any change or cessation of the Services as mentioned above.
Restriction of Service Provision
Bitgrit may restrict the access to the Services on the basis of any conditions that Bitgrit sets at its own discretion. Examples of such conditions include, but are not limited to, whether or not a user has completed their user registration, whether or not a user is above a certain age, whether or not a user has gone through the required verification processes, where a user lives, et cetera.
The Service Provider may, at entirely its own discretion, choose to disable, ban or nullify the accounts of any users who are or suspected to be members or affiliates of a crime organization, utilize the Service for malign purposes including money laundering, or who cause distress or harm to third parties, other users, or to Bitgrit. Bitgrit may take such measures without any obligation to disclose the reason for imposing said restrictions. Bitgrit shall not be responsible or liable for any results or damages resulting from any such restrictions.
Responsibilities
All content and information shared on Bitgrit, either publicly or privately, is the responsibility of the person who created or originally posted said content. Bitgrit takes no responsibility for user-uploaded content, and you shall indemnify and hold harmless Bitgrit against any damages suffered in connection with the use of this content or erroneous information listed within it. How a user utilizes the Service and the contents made available on the Services is entirely their own responsibility, and Bitgrit is hereby held free of any and all liability regarding your use or non-use of the content on the Platform. Bitgrit is also unable to verify or identify the information and data prepared by and uploaded on the Platform by third parties.
For any content that you yourself upload to Bitgrit's platform or create through resources prepared on the Services, you alone are solely responsible for all content and verify that you have the rights to such content.
Bitgrit assumes no responsibility for the content, accuracy, privacy policies, practices or opinions expressed by any third parties or users utilizing the Services. Bitgrit shall not be liable or responsible for any and all liability arising out of your use of any third-party website or service.
If there is a dispute between participants on this site, or between users and any third party, you agree that Bitgrit is under no obligation to become involved. If you have a dispute with one or more other users, you indemnify and hold harmless Bitgrit, its officers, employees, agents, and successors from any claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes or our Services.
Rights and Licenses
Anything you post, upload, share, store, or otherwise provide through the Services is called your “Submission.” Some Submissions are viewable or downloadable by other users. In order to provide you with the Services and to ensure you full access to all aspects of the platform by uploading or sharing information on the Bitgrit platform, you grant certain rights to us regarding your Submissions. Please note that all of the following licenses are subject to our Privacy Policy to the extent they relate to User Submissions that are also your personal information.
For all Submissions, you grant Bitgrit a license to translate, modify, distribute and reproduce and otherwise act with respect to such Submissions, in each case to enable us to operate the Services, as described in more detail below. Bitgrit, in order to perform all relevant technical tasks to provide the Services to our users and, may need to make changes to your Submissions to conform and adapt those Submissions to the technical requirements of communication networks, devices, services, or media, and the licenses you grant under these Terms include the rights to do so. You agree that all of the licenses you grant under these Terms are royalty-free, perpetual, irrevocable, and worldwide. These are licenses only, and you will retain ownership of your Submissions.
If you are participating in a Competition and submit an entry to a Competition (“Entry”), you grant Bitgrit the license mentioned in the above paragraph as well as a license to display, perform, and distribute your Entry for the purpose of making that Entry accessible to the host of the relevant competition (“Competition Host”), making that Entry available to other Bitgrit users as a Dataset, and providing the Services necessary to do so. Also, you grant the Competition Host a limited license to access and use the Competition Entry solely for the purposes of evaluating the Competition Entry under the terms specified on the Competition page (“Competition Rules”) and as otherwise stated in the Competition Rules.
If you win a Competition, your Competition Entry for such Competition will be subject to further licensing as stated in the Competition Rules in addition to the limited licenses stated in these Terms. Once you have accepted payment of the prize stated in the Competition Rules or relevant contract, the intellectual property rights regarding your Entry or Entries will be transferred or license to the Competition Host or Sponsor without any further compensation. The intellectual property rights in your Competition Entries will not be transferred or licensed to the Competition Sponsor or Competition Host unless you accept the payment of the applicable prize stated in the applicable Competition Rules.
Prohibited Acts on the Bitgrit Platform
In creating an account or utilizing the Services, you promise not to use the Services provided by bitgrit Inc. for any purpose that is unlawful or prohibited by these Terms, or any other purposes not reasonably intended by bitgrit. Inc. By way of example, and not as a limitation, you agree not to use the Services to perform any of the following acts, nor to perform any of the following acts in relation to or while using the Services.
- Uploading or posting any false or misleading information.
- Registering an account under a false name, impersonating another party, or posting information in the name of some other person.
- Posting, transmitting, or causing the posting or transmission of any content that libelous, defamatory, obscene, pornographic, abusive, offensive, profane or that infringes any copyright or other right of any person.
- Any acts that damage the property, trust, reputation or privacy of other users, third parties, or Bitgrit, as well as any illegal acts or acts that infringe upon public conventions and morals.
- Abusing, harassing, threatening, impersonating or intimidating any person or party on the Services, or acts that encourage discrimination or harm to other users, third party, or Bitgrit.
- Communicating with bitgrit representatives or other users in an abusive or offensive manner.
- Belonging to, associating with, or acting on behalf of an organized crime organization, a member of an organized crime group, someone who has been part of a violent crime organization within the past five years, an enterprise affiliating with violent crime organizations, corporate extortionists, racketeers advocating for a social or political movement, or other illegal crime groups.
- Utilizing the Services for any purpose (including posting or viewing content) that is not permitted under the laws of the jurisdiction where you use the Services including money laundering.
- Using the service for any purpose other than personal use contemplated for the Service. This includes duplicating, selling, publishing, disseminating, or using any of the contents on the Services in a manner that outside of the constraints of what could not be considered as personal use.
- Posting or transmitting, or causing to be posted or transmitted, any communication designed or intended to obtain password, account, or private information from any bitgrit Inc. user.
- Creating or transmitting unwanted ‘spam' to any person or any URL.
- Posting copyrighted content that does not belong to you.
- Performing any acts that infringes upon or has a possibility or risk of infringing upon the intellectual property rights, portrait rights, publicity rights, or other rights lawfully bestowed upon to other users, third parties, or the Service Provider
- Performing any acts that inflict any damages to the property, trust, or reputation of user(s), a third party, or the Service Provider, in addition to any other criminal acts that infringe upon public order.
- Any libelous or defamatory acts to other users, third parties, Bitgrit, or other acts that discriminate or encourage discrimination to the above
- Acts that interfere with the operation or management of the Platform in any way, or any acts that cause or may cause defamation or damage to the credibility or reputation of the services and/or Bitgrit.
- Acts that damage or obstruct the operation of devices, equipment, internet apparatuses, or interferes with the owner's ability to manage said equipment owned or used by third parties, including other users, including but not limited to deploying or sending damaging computer programs or viruses to other users, Bitgrit, or to a third party.
- Lending, assigning, or agreeing to assign the rights given to you as a bitgrit account holder to other individuals or third parties as part of these Terms and Conditions
- Encouraging other users or third parties to break the rules or the prohibited items listed above
- Violating any and all copyrights, patents, trademarks, or other intellectual property rights of Bitgrit, which includes any acts of disassembling, decompiling, reverse engineering, copying, adjusting, altering, or performing any acts of crawling.
- Any acts that infringe upon the laws, restrictions or regulations in place in this Terms of Use, the laws of Japan, or in the country or region you are located in.
- Any other acts considered inappropriate or deemed unacceptable by Bitgrit or considered as a possible risk to other users, Bitgrit, or any third parties
If users commit any of the above acts or behave in any other way that Bitgrit deems unacceptable, Bitgrit may nullify, ban, or prohibit you from using the Services. You acknowledge and agree that Bitgrit may, without any liability but without any obligation to do so, remove or disqualify a user, or other third party who violates these Terms or otherwise poses a risk to Bitgrit, the Services or another user of the Services.
Bitgrit shall not be responsible or liable for any results or damages resulting from such activities by bitgrit described in the paragraph above.
Trademarks
bitgrit Inc., bitgrit.com, bitgrit.net, bitgrit and other bitgrit Inc. graphics, logos, designs, page headers, button icons, scripts, and service names are registered trademarks, trademarks or trade dress of bitgrit Inc. bitgrit Inc.'s trademarks and trade dress may not be used in connection with any product or service without the prior written consent of bitgrit, Inc. The images and icons available in the bitgrit Inc. icon pack may be used by partners and third-party sites in connection with providing appropriate links to the bitgrit Inc. site as long as they are used in a manner that is consistent with bitgrit Inc.'s requirements.
Termination
We may terminate or suspend any user's access to our service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to the case where you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, indemnity, limitations of liability and governing law.
Links to Other Websites
Our Service may contain links to third-party web sites or services that are not owned or controlled by bitgrit Inc.
bitgrit Inc. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that bitgrit Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
Limitation of Liability
Bitgrit shall, with exception made to any instances of intentional or grievous error, not be liable for any and all damages suffered by Users or any third parties arising out of use of the Services (including mental duress, financial damages, or any and all other inconveniences). Also, to the fullest extent allowed by applicable law, you shall indemnify and hold Bitgrit and its affiliates, officers, agents, employees, and partners harmless from and against liabilities, damages, losses arising incidentally, losses arising coincidentally, lost profits, lost revenue, lawyer’s fees or other fees arising out of or in connection with claims, legal action and otherwise made by third parties, including other users of the Services, related to your use of the Services or breach of Terms and Conditions.
Governing Law
These Terms of Use and other terms of the Company shall be governed by and construed in accordance with the laws of Japan.
You and the Bitgrit agree that any dispute that may arise in connection with these Terms of Use or other terms of the Company shall be brought in either the Tokyo Summary Court or the Tokyo District Court as the exclusive agreement jurisdiction of the first instance, depending on the amount in dispute.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will endeavor to provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
